Terms and Conditions

These Terms and Conditions (“Terms and Conditions”) govern your access to and use of the Platform and Services provided by SubmitAbility Technology Pvt Ltd (“SubmitAbility”, “we”, “us”, or “our”). Ascentability is a software-as-a-service platform designed to assist students write secondary essays for their application to medical schools in the United States of America (“Platform”). The Platform is accessible through our website (the “Website”). The features and functionalities made available through the Platform and the Website are collectively referred to as the “Services”).

By registering for an account, accessing, or using the Services in any manner, you (“you”, “your”, or “User”) agree to be bound by these Terms and Conditions and our Privacy Policy and Refund Policy, which are incorporated herein by reference. If you do not agree to these Terms and Conditions, you must discontinue use of the Services immediately.

IF YOU USE THE SERVICES ON BEHALF OF SOMEONE ELSE OR AN ENTITY, YOU REPRESENT THAT YOU ARE AUTHORISED BY SUCH INDIVIDUAL OR ENTITY TO ACCEPT THESE TERMS AND CONDITIONS ON THEIR BEHALF AND TO BIND THEM TO THESE TERMS AND CONDITIONS.

The Services are intended for individuals who are 18 years of age or older and who have the legal capacity to enter into a binding agreement. By using the Services, you represent and warrant that you meet these requirements. The Platform is designed to assist students write secondary essays for their application to medical schools in the United States of America. Use for any other purpose is outside the scope of the Services.

To access the Services, you must register for an account by providing accurate, complete, and current information, including your name, email address, phone number, and location details. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@ascentability.com if you suspect any unauthorised access to or use of your account.

You represent that all information you provide at the time of registration, and at all times thereafter, is accurate and up to date. We reserve the right to suspend or terminate any account where we have reasonable grounds to believe that the information provided is inaccurate, false, or incomplete.

We provide the following features and functionalities through the Platform:

• a structured workspace to organise all secondary application essays by school and topic;
• the ability to create, track, and compare multiple drafts of each essay;
• tools to monitor completion status by school and track which applications have been submitted;
• collated pages with login details, essays, and quick-copy functionality for efficient submission;
• a library of completed essays organised by topic, with export functionality for reuse;
• the ability to tag schools by priority level to manage your application workflow;
• the ability to save copies of essays and submissions in PDF format for your records; and
• mentor collaboration (coming soon): the ability to send essays to mentors for feedback to improve the quality of secondary applications.

We reserve the right to modify, update, suspend, or discontinue any feature or aspect of the Services at any time, with reasonable notice where practicable. We shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

Access to the Services is provided on a subscription basis. Subscription plans and pricing are as set out on the Website at the time of your subscription. By selecting a subscription plan and providing your payment details, you authorise us to charge your nominated payment method automatically at the start of each billing cycle (“Autopay”) until your subscription is cancelled in accordance with these Terms and Conditions.

If you upgrade to a higher-tier plan during an active billing period, you will be charged the pro-rated difference between your current plan and the upgraded plan for the remainder of the current billing period (“Upgrade Charge”). From the next billing cycle, you will be charged the full rate of the upgraded plan. Upgrade Charges are non-refundable once processed.

Payments are processed by a third-party payment gateway. By submitting payment information, you authorise the payment processor to charge your selected payment method. We do not store full payment card or payment instrument details on its servers. You represent that you are authorised to use the payment method provided.

We reserve the right to modify subscription pricing at any time. Your continued use of the Services following a pricing change constitutes your acceptance of the revised pricing.

Refunds are governed by our Refund Policy, which forms part of these Terms and Conditions and is incorporated herein by reference. By agreeing to these Terms and Conditions, you also agree to the Refund Policy.

By using the Services, you agree that you will not:

• use the Services for any unlawful purpose or in violation of any applicable laws or regulations;
• upload, transmit, or distribute content that is defamatory, offensive, obscene, or that infringes the intellectual property or other rights of any third party;
• attempt to gain unauthorised access to any part of the Services, our servers, databases, or any connected systems;
• reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Platform;
• use any automated tool, bot, scraper, or similar means to access or extract data from the Platform without our prior written consent;
• share your account credentials with any third party or permit any third party to access or use your account;
• impersonate any person or entity or misrepresent your affiliation with any person or entity; or
• engage in any conduct that interferes with or disrupts the integrity or performance of the Services.

We reserve the right to investigate and take appropriate action in respect of any breach of this clause, including suspending or permanently terminating your account without notice.

You retain ownership of all content you create, upload, or submit through the Platform, including your secondary application essays, school data, and any other materials (“User Content”). By submitting User Content to the Platform, you grant us, a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely to the extent necessary to provide the Services to you.

You are solely responsible for the accuracy, legality, and appropriateness of all User Content. We do not review User Content for accuracy or completeness and accept no liability for any errors, omissions, or inaccuracies contained therein. You represent and warrant that you have all rights necessary to submit your User Content and that it does not infringe the rights of any third party.

You acknowledge that your User Content, including your secondary application essays, may contain personal information and / or sensitive personal information. Please review our Privacy Policy for details on how such information is handled.

All content, software, design, text, graphics, logos, and features available on or through the Platform, other than User Content, are the exclusive property of SubmitAbility Technology Pvt Ltd or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms and Conditions grants you any rights in or to our intellectual property other than the limited right to use the Services as expressly set out herein.

You must not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Platform or its content without our prior written consent.

The Platform may contain links to third-party websites or integrate with third-party services, including school application portals and payment processors. We have no control over and accept no responsibility for the content, privacy practices, availability, or terms of any third-party service.

Your use of any third-party service is at your own risk and is governed by the terms and conditions of that service.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED AND ERROR-FREE.

WE DO NOT GUARANTEE ANY PARTICULAR OUTCOME FROM YOUR USE OF THE SERVICES, INCLUDING ACCEPTANCE AND/ OR ADMISSION TO ANY MEDICAL SCHOOL OR THE SUCCESS OF ANY APPLICATION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUBMITABILITY TECHNOLOGY PVT LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR LOSS OF OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Under no circumstances shall our total aggregate liability for any claims arising out of or relating to these Terms and Conditions or your use of the Services exceed the subscription fees you paid to us during the one (1) month immediately preceding the event that gave rise to the claim.

You agree to indemnify, defend, and hold harmless SubmitAbility Technology Pvt Ltd and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your use of or access to the Services; (ii) your User Content; (iii) your breach of these Terms and Conditions; or (iv) your violation of any applicable law.

We reserve the right to update or modify these Terms and Conditions at any time. Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms and Conditions. If you do not agree to the revised Terms and Conditions, you must discontinue use of the Services.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including where we reasonably believe you have breached these Terms and Conditions. Upon termination, your right to use the Services ceases immediately. Termination does not affect any rights or obligations that have accrued prior to the date of termination. The provisions of these Terms and Conditions that by their nature should survive termination, including User Content, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law, shall survive termination.

We shall not be liable for any delay or failure in performance of the Services to the extent that such delay or failure results from causes beyond our reasonable control, including acts of God, natural disasters, epidemic or pandemic, war, lockdowns, terrorism, civil unrest, government action, labour disputes, power failures, internet or telecommunications outages, or failures of third-party service providers.

These Terms and Conditions are governed by and shall be construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the competent courts in India.

If you are a user located in the United States, you are contracting with an Indian entity and Indian law governs this agreement..

If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms and Conditions. The remaining provisions shall continue in full force and effect.

These Terms and Conditions, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SubmitAbility Technology Pvt Ltd with respect to your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to the subject matter hereof.
